These Terms of Sale (the "Terms", in Italian "Condizioni di Vendita") describe the VeraVox software product, provide the pre-contractual information required by consumer law, and set out the terms on which a licence for VeraVox is offered. They apply to the purchase of a VeraVox licence through the checkout operated by our Merchant of Record, Lemon Squeezy.
Please note that the contract of sale for the licence is concluded with Lemon Squeezy as seller of record, not directly with Riccardo Paterniti (see Section 2). Your use of the Software is separately governed by the End User License Agreement.

Initial sales are made by Riccardo Paterniti as a private individual, and no VAT (P.IVA) number is shown at this stage. These Terms are issued in compliance with Directive 2011/83/EU on consumer rights, the Italian Consumer Code (Codice del Consumo, Legislative Decree No. 206/2005), and Legislative Decree No. 70/2003 on electronic commerce.
The contract of sale for a VeraVox licence is concluded with Lemon Squeezy, the trading name of Sold Through Link, LLC (formerly Lemon Squeezy, LLC), a limited liability company established in Utah, USA and part of the Stripe group, acting as Merchant of Record and seller of record.
As seller of record, Lemon Squeezy processes your payment, issues the invoice, and calculates, collects, and remits any applicable sales tax or VAT. These Terms describe the product and set out the pre-contractual information required by law; the payment and invoicing relationship is between you and Lemon Squeezy under its own terms. Refunds and chargebacks are handled by Lemon Squeezy (see our Refund Policy).
VeraVox is a bit-perfect audio player for macOS. It is designed to play high-resolution PCM and DSD audio by bypassing the macOS system mixer and sending the samples unaltered to your DAC.
Its main features include:
System requirements: macOS 14 Sonoma or later; Apple silicon or Intel Mac.
Functionality and interoperability: the Software is delivered as a Licence Key that you enter into the app. The only technical protection measure applied is Licence Key activation with a limit of three (3) Devices; the Software applies no other digital rights management (DRM). The application itself is distributed as a free download from veravox.audio.
The total price of the licence, inclusive of any applicable taxes, is the price shown at checkout (currently EUR 69, inclusive of applicable taxes). The final price applicable to your purchase, including any tax calculated for your country, is displayed before you confirm the order.
Payment methods are provided and processed by Lemon Squeezy. The order button at checkout is labelled to make clear that placing the order entails an obligation to pay. No charge is made until you confirm the order.
You may evaluate VeraVox by downloading the free 30-day trial from veravox.audio before any purchase. To buy, you complete the checkout operated by Lemon Squeezy and obtain a Licence Key.
The Licence Key is delivered instantly by email once payment is confirmed. That email, together with the order confirmation and invoice provided by Lemon Squeezy, constitutes confirmation of the contract on a durable medium. You then activate the Software by entering the Licence Key, as described in the End User License Agreement.
Your purchase is concluded with Lemon Squeezy as Merchant of Record. Lemon Squeezy's Buyer Terms and Conditions, presented at checkout, together with its refund policy, govern the payment and any refund, cancellation, or withdrawal in relation to the transaction. Refunds are provided by Lemon Squeezy on a case-by-case basis, and Lemon Squeezy may also issue a refund at its own discretion within 60 days of purchase.
Your statutory rights are unaffected. Nothing in these Terms limits the mandatory consumer rights you may have under the law of your country of residence. Where consumer law grants a right of withdrawal from a distance contract (for example the fourteen-day right under Article 9 of Directive 2011/83/EU and Article 52 of the Italian Consumer Code), that right applies through Lemon Squeezy as the seller of record. For digital content not supplied on a tangible medium, such as a Licence Key delivered immediately, the right of withdrawal may be lost once supply has begun with the consumer's prior express consent and acknowledgement, in accordance with Article 16(m) of Directive 2011/83/EU and Article 59(1)(o) of the Italian Consumer Code.
How to request a refund or exercise a right of withdrawal. Please contact us first at support@veravox.audio with your order details, and we will help resolve the matter, together with Lemon Squeezy where required; you may also contact Lemon Squeezy directly as the seller of record. We ask that you contact us before initiating any chargeback with your bank or card issuer.
Where you purchase as a consumer, you benefit from the statutory legal guarantee of conformity for digital content and digital services under the Italian Consumer Code (articles 135-octies and following, transposing Directive (EU) 2019/770).
If the digital content or digital service is not in conformity with the contract, you are entitled to have it brought into conformity, or to a proportionate reduction of the price, or to termination of the contract, in the cases and subject to the conditions provided by law. The standard statutory period applies. These remedies are without prejudice to any other rights available to you under applicable law.

We aim to acknowledge complaints promptly and to respond substantively within a reasonable time, ordinarily within a few business days. Where a complaint concerns payment, invoicing, or a refund, it may be handled together with Lemon Squeezy as Merchant of Record (see our Refund Policy).
These Terms, and any contract concluded under them, are governed by the laws of Italy, without prejudice to the mandatory consumer-protection provisions of the law of the country in which you are habitually resident. Nothing in these Terms deprives you, where you are a consumer, of the protection afforded by those mandatory provisions, nor of your right to bring proceedings before the courts of your country of habitual residence.
